Terms of Service

BROAD VISTA PTE. LTD. (“we,” “us,” “our”), a Singapore-based e-commerce company specializing in clothing retail, provides services through our website and mobile app (collectively, the “Platform”). By accessing or using the Platform, creating an account, or placing an order, you (“you,” “user”) agree to comply with these Terms of Service. We reserve the right to update these terms periodically; updates will be posted on the Platform with the “Last Updated” date revised.​

1. Eligibility to Use Services​

To use our services, you must: (a) be at least 18 years old, or have parental/guardian consent if under 18; (b) have the legal capacity to enter into binding agreements; (c) provide accurate, complete, and up-to-date information; and (d) not be prohibited from using the Platform by Singapore law or any other applicable jurisdiction.​

2. User Account Responsibilities​

When creating an account, you must: (a) choose a unique password and keep it confidential; (b) notify us immediately of unauthorized account access via email ([email protected]) or phone (65- 8032-5569); (c) take responsibility for all activities conducted under your account; and (d) update account information (e.g., contact details) promptly to ensure accuracy.​

3. Platform Usage Rules​

You agree not to: (a) use the Platform for illegal or fraudulent purposes (e.g., purchasing items with stolen payment methods); (b) upload harmful content (e.g., viruses, malware); (c) disrupt Platform functionality (e.g., spamming, DDoS attacks); (d) copy, modify, or distribute Platform content without our written permission; or (e) impersonate others or mislead users about your identity.

4. Product Information Accuracy​

We strive to provide accurate product details (e.g., size charts, fabric descriptions, colors) on the Platform. However, minor discrepancies may occur (e.g., color variations due to screen settings). We reserve the right to correct errors (e.g., pricing, stock availability) and cancel orders if product information is inaccurate, with prompt notification to you.​

5. Order Placement and Acceptance​

When you place an order, it constitutes an offer to purchase. We reserve the right to accept or reject orders (e.g., if items are out of stock, payment is invalid, or order details are incomplete). Order confirmation (sent via email) signifies acceptance, and a binding contract is formed at that point.​

6. Payment Terms​

You agree to: (a) use valid payment methods (e.g., credit cards, PayPal) accepted on the Platform; (b) pay all applicable fees (product price, shipping, taxes) at checkout; (c) not dispute legitimate charges without justification; and (d) bear responsibility for any additional fees (e.g., currency conversion, bank charges) from your payment provider.​

7. Pricing and Taxes​

All prices on the Platform are in Singapore Dollars (SGD), unless stated otherwise. Prices include Goods and Services Tax (GST) for Singapore orders. International orders may be subject to import duties, taxes, or fees imposed by the destination country—you are responsible for paying these, as they are not included in our prices.​

8. Stock Availability​

Stock levels are displayed on the Platform in real time, but we do not guarantee availability. If an item is out of stock after order confirmation, we will notify you within 1 business day and offer: (a) a full refund; (b) a pre-order (if restocking is planned); or (c) a recommendation for a similar item.

9. Shipping and Delivery​

Shipping and delivery terms are governed by our separate Shipping & Delivery Policy, which includes details on timelines, costs, and tracking. We are not liable for delays caused by third-party couriers, customs, or unforeseen events (e.g., natural disasters), but we will assist in resolving issues where possible.​

10. Returns and Refunds​

Returns and refunds are subject to our Return Policy (outlined separately), which covers eligibility, timelines, and processes. We reserve the right to reject returns that do not meet policy requirements, and refunds will be processed in accordance with the policy’s terms.​

11. Intellectual Property Rights​

All content on the Platform (e.g., logos, product images, text) is owned by or licensed to us. You may not use, reproduce, or distribute this content for commercial purposes without our prior written consent. Violations may result in legal action.​

12. Limitation of Liability​

To the maximum extent permitted by law: (a) we are not liable for indirect, incidental, or consequential damages (e.g., loss of profit, inconvenience) arising from Platform use or order issues; (b) our total liability for direct damages is limited to the total amount paid for the affected order; and (c) we are not liable for damages caused by third parties (e.g., couriers, payment processors).​

13. Indemnification​

You agree to indemnify and hold us harmless from: (a) claims, damages, or losses arising from your breach of these terms; (b) unauthorized account use; (c) violation of applicable laws; or (d) claims by third parties related to your use of the Platform.

14. Termination of Services​

We may terminate or suspend your access to the Platform: (a) if you breach these terms; (b) if your account is inactive for 12 consecutive months; (c) if required by law; or (d) for operational reasons. You will be notified of termination via email, and any pending orders will be processed or refunded as appropriate.​

15. Privacy Policy Compliance​

We collect, use, and protect your personal data in accordance with our Privacy Policy and Singapore’s Personal Data Protection Act (PDPA). By using our services, you consent to data processing as outlined in the Privacy Policy.​

16. Governing Law and Disputes​

These terms are governed by Singapore law. Any disputes arising from these terms or our services will first be resolved through good-faith negotiation. If negotiation fails, disputes will be submitted to the Singapore courts for resolution.​
